These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "You," or "Client") and Vocalfy LLC ("Vocalfy," "We," "Us," or "Our"), a limited liability company addressed at 30 N Gould St Ste 28796, Sheridan, WY 82801.
By accessing or using vocalfy.com (the "Site") in any manner, you automatically agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Site.
We understand the concerns regarding AI-generated content in the music industry. Vocalfy stands for human creativity.
We officially guarantee that 100% of the vocals, acapellas, and spoken word recordings available on Vocalfy are recorded by real, human vocalists. We do not sell AI-generated vocals. When you purchase from Vocalfy, you are supporting human talent and obtaining authentic recordings.
To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. Vocalfy is not liable for any loss or damage arising from your failure to protect your account information.
When you purchase or download content from Vocalfy, you are not "buying" the file; you are obtaining a License to use it. Your use of the content is strictly governed by the specific license agreement associated with that product:
Non-Exclusive License: The standard license for general marketplace vocals.
Prime License: Limited-edition vocals (capped at 10 active license holders).
Exclusive License: Transfer of rights or exclusive usage rights (as defined in the specific agreement).

Binding Nature: By downloading a file, you verify that you have read and agreed to the specific restrictions of the license associated with that file.
Vocalfy offers optional subscription tiers ("Plus," "Pro," and "Ultimate") that grant access to benefits.
Plus Plan: Includes 3 Credits per month. Access to Subscriber-Only vocals. Note: Plus users receive the vocal files only; Instrumental stems and MIDI are NOT included.
Pro Plan: Includes 6 Credits per month. Access to Subscriber-Only vocals PLUS full Instrumental Stems & MIDI files for subscriber-only vocals. Includes Pre-Access to Exclusive vocals.
Ultimate Plan: Includes 9 Credits per month. Access to Subscriber-Only vocals PLUS full Instrumental Stems & MIDI files for subscriber-only vocals. Includes Pre-Access to Exclusive vocals.
1 Credit = 1 Subscriber-Only Vocal.
No Rollover: Unused credits do not rollover to the next month. Credits reset to your plan’s limit at the start of each new billing cycle.
Active Subscription Required: Credits can only be redeemed while your subscription is active. If you cancel, you forfeit any remaining credits immediately at the end of your billing term.
Retention of Files (Cancellation vs. Refund):
If you Cancel: Any vocals downloaded while your subscription was active remain yours to use forever, subject to the Non-Exclusive license terms.
If you Refund: (See Subsection E below).
Pro and Ultimate subscribers will receive early access to new Exclusive Vocals before they are made public. This access is provided via email or a designated section in the user account.
Vocalfy will try to provide early access to all Exclusive vocals (we have never missed an Exclusive vocal before), but you are not guaranteed to receive early access to all vocals.
Subscriptions automatically renew (monthly or annually) unless canceled. You may cancel at any time via your account settings.
This policy applies strictly to "Refunds" (getting your money back), not "Cancellations" (stopping future payments).
Subscription Refunds: In the event that a user requests and receives a refund for a subscription charge, ALL licenses for Subscriber-Only Vocals downloaded during that specific refunded billing period are immediately and retroactively revoked. You must delete these files and remove any content using them.
Credit Refunds: If a specific Credit purchase is refunded, or if a Credit is restored to your account due to a dispute, the license for the specific vocal redeemed with that Credit is immediately revoked.
Consequence: Using a vocal after the underlying subscription or credit has been refunded constitutes willful copyright infringement.
Vocalfy acts as a platform to facilitate the transaction. We are not the employer of the Artist
Client must submit clear requirements, lyrics (if applicable), and backing tracks immediately after payment to ensure timely delivery.
Unless explicitly agreed otherwise in writing, custom recordings are treated as "Work Made for Hire." Upon final payment, delivery, and acceptance, the Client becomes the sole legal owner of the Master Recording and Underlying Composition. This ownership includes:
Notwithstanding the ownership rights granted above, the Client is restricted from exploiting the raw assets as standalone products.
Vocalfy may mediate disputes regarding quality or delivery. We listen closely to your complaint, but we reserve the right to decline your refund request if we feel you do not provide us with a good enough reason for a refund.
If a refund is requested and given, you will not have ANY rights to the associated files. Files obtained from a vocalist hire order that was refunded must be deleted by you and not used in any way whatsoever.
You agree NOT to:
Use any data mining, robots, or similar data gathering methods on the Site.
Resell, sublicense, share, or redistribute any audio files purchased from Vocalfy in their raw format (e.g., uploading our vocals to other stock sites).
Register any Vocalfy audio files with YouTube Content ID or other copyright management systems (unless you own a valid Exclusive License).
Use the Site for any unlawful purpose.

Unless otherwise stated, Vocalfy and/or its licensors own the intellectual property rights for all material on the Site. All intellectual property rights are reserved. You may access this from Vocalfy for your own personal use subjected to restrictions set in these terms and conditions.

"As Is": The Site and products are provided on an "as is" and "as available" basis. Limitation: To the fullest extent permitted by law, Vocalfy LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from your use of the Site or products. In no event shall our liability exceed the amount paid by you to Vocalfy in the six (6) months preceding the claim.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within Wyoming for any actions for which we retain the right to seek injunctive or other equitable relief.
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.
