This Non-Exclusive License Agreement (the "Agreement") is made effective as of the initial date of download (the "Effective Date") by and between Vocalfy LLC, a limited liability company organized under the laws of Wyoming, addressed at 30 N Gould St Ste 28796, Sheridan, WY 82801 ("Licensor" or "Vocalfy"), and the person identifying themselves at the time of download ("Licensee" or "You").

By downloading the Licensed Materials, you agree to be bound by the terms of this Agreement.

This Agreement automatically applies to all Free vocals you downloaded via Vocalfy.com(vocals with a clear “Free” label).

DEFINITIONS

"Licensed Materials" refers to the audio files (including, but not limited to, vocal stems, acapellas, instrumental stems, and MIDI files) downloaded by Licensee from Vocalfy.

"New Work" refers to a new, original musical composition and sound recording created by Licensee that combines the Licensed Materials with other substantial musical elements (e.g., drums, synths, arrangement).

DELIVERY

• After creating an account, the Licensed Materials will be obtainable via the product page, and downloadable instantly.
• The licensee will receive a single MP3, WET, Full Vocal stem. The vocal will need to be upgraded to a paid license in order to obtain the separated DRY/WET WAV stems.

USE OF THE VOCAL TRACK

• The Licensed Material is strictly for personal use only, and is not intended for commercial use of any kind. Licensee understands that the Licensed Material can only be used for personal applications and not to generate income. Licensee may not distribute their New Work on any streaming platforms.

GENERAL TERMS

• The license cannot be transferred to someone else. The license nor the files cannot be resold.
• It is prohibited from registering the Licensed Materials or the New Work with any content identification system.
• The licensee agrees that the agreement is non-exclusive and acknowledges that the Licensed Materials can be resold under the same or different terms to someone else by Vocalfy.

USAGE RIGHTS

• The licensee is prohibited from distributing the Licensed Materials or New Work onto streaming services such as Spotify, Apple Music, YouTube etc…)
• The Licensed Materials or New Work cannot be played across radio stations.
• The Licensed Materials or New Work cannot be publicly performed.
• The licensee may not sell or offer a free download of the Licensed Materials or New Work.

ROYALTIES

Since this is a personal use license and the Licensed Materials does not come with commercial rights, the Licensed Materials or New Work is not up for monetization and the licensee may not collect any payments of any kind through use of the Licensed Materials or New Work.

GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of the State of Wyoming, United States. Any legal action or proceeding regarding this Agreement shall be brought exclusively in the federal or state courts located in Wyoming.
