This Exclusive License Agreement (the "Agreement") is made effective as of the date of purchase (the "Effective Date") by and between Vocalfy LLC, a limited liability company organized under the laws of Wyoming, addressed at 30 N Gould St Ste 28796, Sheridan, WY 82801 ("Licensor" or "Vocalfy"), and the purchaser identifying themselves at the time of purchase ("Licensee" or "You").
By purchasing, downloading, or using the Licensed Materials, you agree to be bound by the terms of this Agreement.
This Agreement automatically applies to:
1. All Exclusive vocals you purchased or downloaded via Vocalfy.com (vocals with a clear “Exclusive” label).
2. All files obtained from hire orders (files obtained when hiring an artist for custom work).
"Licensed Vocal" refers to the specific vocal recording, including the audio stems (dry/wet), lyrics, and melody purchased or downloaded by Licensee.
"Demo Instrumental" refers to the musical backing track (drums, bass, piano, etc.) included on the product page for demonstration purposes.
"New Work" refers to a new, original musical composition and sound recording created by Licensee that combines the Licensed Vocal with other substantial musical elements.
Vocalfy warrants that the Licensed Vocal is no longer available for sale to the general public. Vocalfy grants Licensee the sole and exclusive rights to use the Licensed Vocal subject to the terms below.
Vocalfy grants Licensee an exclusive, perpetual, worldwide, non-transferable license to use, reproduce, and exploit the Licensed Vocal solely for the creation of New Works.
Licensee has commercial freedom regarding their New Work, including:
Unlimited Distribution: Licensee may distribute, stream, download, and sell the New Work on all platforms (Spotify, Apple Music, etc.) and physical media worldwide, with no cap on sales or streams.
Publishing & Composition: Licensee is granted the exclusive right to register the underlying composition (lyrics and melody) of the Licensed Vocal with Performance Rights Organizations (PROs) such as ASCAP, BMI, or GEMA, and collect 100% of the writer’s and publisher’s share.
Monetization & Content ID: Licensee is permitted to register the New Work with Content Identification systems (e.g., YouTube Content ID, Facebook Rights Manager) and collect 100% of ad revenue.
Sync Licensing: Licensee may license the New Work for use in TV, Film, and Games without paying additional fees to Vocalfy.
Modifications: Licensee may chop, slice, pitch-shift, rearrange, and process the Licensed Vocal as they see fit.
While Licensee has full rights to their New Work, they do not own the isolated vocal distribution rights.
No Resale of Files: Licensee may not sell or lease the isolated Licensed Vocal files (stems) to any third party.
No Sub-Licensing: Licensee may not license the Licensed Vocal in isolation to other artists. The license is valid only for the Licensee's projects and collaborations.
No Transfer of License: This Agreement is personal to the Licensee. You cannot sell or transfer this Agreement to another entity. (Note: You may transfer the rights to the completed "New Work" to a record label or publisher, provided the label or publisher respects that the isolated vocal files cannot be extracted and resold).
This Exclusive License applies ONLY to the Licensed Vocal.
Any Demo Instrumental stems provided in the download are licensed on a Non-Exclusive basis.
Licensee does not obtain exclusive rights to the Demo Instrumental and may not register the Instrumental portion with Content ID or claim ownership of the beat composition.
Instrumental stems may only be used to create a New Work and may not be used to publish the arrangement of the stems in their original placement. Licensee can use the stems commercially and implement them into Licensee’s song, but the song must always differ from the original song made by Vocalfy. The Licensee must use their creativity and create something they can call their own.
Strict Refund Policy: In the event that Licensee requests and receives a refund for the Licensed Vocal:
Immediate Revocation: This Exclusive License is immediately terminated.
Reversion of Rights: All rights granted herein automatically revert to Vocalfy LLC.
Takedown: Licensee must immediately remove the New Work from all distribution channels. Continued use after a refund will be pursued as willful copyright infringement.
This Agreement shall be governed by the laws of the State of Wyoming, United States. Any legal action or proceeding regarding this Agreement shall be brought exclusively in the federal or state courts located in Wyoming.
