This Non-Exclusive License Agreement (the "Agreement") is made effective as of the date of purchase or download (the "Effective Date") by and between Vocalfy LLC, a limited liability company organized under the laws of Wyoming, addressed at 30 N Gould St Ste 28796, Sheridan, WY 82801 ("Licensor" or "Vocalfy"), and the person identifying themselves at the time of purchase or download ("Licensee" or "You").
By purchasing, downloading, or using the Licensed Materials, you agree to be bound by the terms of this Agreement.
This Agreement automatically applies to all Non-Exclusive vocals you purchased or downloaded via Vocalfy.com (vocals with a clear “Non-Exclusive” label).
"Licensed Materials" refers to the audio files (including, but not limited to, vocal stems, acapellas, instrumental stems, and MIDI files) and underlying compositions of such audio files purchased or downloaded by Licensee from Vocalfy.
"New Work" refers to a new, original musical composition and sound recording created by Licensee that combines the Licensed Materials with other substantial musical elements (e.g., drums, synths, arrangement).
"Underlying Composition" refers to the musical structure, lyrics, and melody contained within the Licensed Materials.
Subject to the terms and conditions of this Agreement, Vocalfy grants Licensee a non-exclusive, non-transferable, perpetual, worldwide, royalty-free license to use the Licensed Materials solely for the creation of New Works.
Licensee is granted the following rights regarding the New Work:
Commercial Exploitation: Licensee may distribute, sell, and stream the New Work on digital service providers (e.g., Spotify, Apple Music, YouTube) worldwide.
Master Royalties: Licensee retains 100% of the master recording royalties generated by the New Work (net income from streams and downloads).
Downloads: Licensee may offer unlimited free or paid downloads of the New Work.
Public Performance: The New Work may be performed publicly and broadcast on unlimited radio stations.
Synchronization: Licensee may license the New Work for synchronization in TV, film, or video games, provided the license refers strictly to the Licensee’s master recording rights and not the publishing rights.
Modifications: Licensee may edit, chop, slice, pitch-shift, and process the Licensed Materials to fit the New Work.
Strict adherence to these restrictions is required. Violation constitutes a material breach of this Agreement.
A. No Standalone Redistribution: Licensee may not resell, sub-license, lease, trade, or share the Licensed Materials in isolation, as sound effects, loops, or as part of a sample pack. The Licensed Materials must be embedded within a New Work. That said, including the vocal stems in ghost productions is allowed, as long as the vocal stems are not sold in isolation.
B. STRICT BAN on Content ID & Copyright Registration:
Licensee is strictly prohibited from registering the New Work, or any portion of the Licensed Materials, with any Content Identification System (including, but not limited to, YouTube Content ID, Facebook Rights Manager, TikTok, Audible Magic).
Because the Licensed Materials are Non-Exclusive, other users hold licenses to the same audio. Registering with Content ID will trigger false copyright strikes against other valid licensees.
C. Publishing & Composition Rights:
This License grants rights to the Sound Recording only. It does not grant ownership of the Underlying Composition (lyrics and melody) of the vocal.
Licensee may not register the lyrics or melody of the Licensed Materials with any Performance Rights Organization (PRO) (e.g., ASCAP, BMI, GEMA) or Copyright Office as their own original work.
Licensee owns the copyright to the arrangement and instrumental backing they create, butVocalfy retains ownership of the vocal melody and lyrics.
D. Vocalfy artist(s) crediting: Crediting the Vocalfy artist(s) (the artist(s) responsible for writing, recording or producing the Licensed Materials from Vocalfy) in your New Work must only be done if written permission is obtained.
If the Licensed Materials includes instrumental stems or MIDI files ("Demo Stems"):
Instrumental stem files may only be used to create a New Work and may not be used to publish the arrangement of the stems in their original placement. Licensee can use the stems commercially and implement them into Licensee’s song, but the song must always differ from the original song made by Vocalfy. The Licensee must use their creativity and create something they can call their own.
Vocalfy Ownership: Vocalfy remains the sole and exclusive owner of all rights, title, and interest in and to the Licensed Materials and the Underlying Composition.
Licensee Ownership: Licensee owns the copyright in the specific sound recording of the New Work created by the Licensee EXCLUDING the Licensed Materials contained therein.
Representations: Vocalfy represents that it has the full right and authority to enter into this Agreement and to grant the rights herein.
Indemnification: Licensee agrees to indemnify, defend, and hold harmless Vocalfy, its officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising from Licensee’s breach of this Agreement or use of the Licensed Materials in violation of third-party rights.
Vocalfy shall have the right to immediately terminate this Agreement if Licensee breaches any of its terms. Upon termination, all rights granted to Licensee shall immediately cease, and Licensee must remove the New Work from all distribution channels and destroy all copies of the Licensed Materials.
In the event that Licensee requests and receives a refund for the Licensed Materials:
Revocation: The License granted by this Agreement is immediately revoked and rendered null and void.
Takedown: Licensee must immediately remove the New Work from all distribution channels (streaming services, social media, video platforms).
Deletion: Licensee must destroy all copies of the Licensed Materials in their possession.
Infringement: Any further use of the Licensed Materials after a refund has been issued will be pursued as willful copyright infringement and subject to legal action.
This Agreement shall be governed by the laws of the State of Wyoming, United States. Any legal action or proceeding regarding this Agreement shall be brought exclusively in the federal or state courts located in Wyoming.
